All pricing, fees and discounts described are contingent upon Customer’s execution and submittal of required forms and payment.
Base Fee: The contracted and normal base fee shall be $299 per office location. This exculdes any specific customization work, access to Periscope and Vinesingn.
Renewal: After the Initial Term or 30 days has expired, this Sales Order shall automatically renew for an additional term of 30 days and every 30-day period thereafter. Either party may terminate this Agreement with 30 days prior written notice. Dentavine may increase fees at the end of any Term, to take effect upon the commencement of the next Term, on not less than 45 days’ written notice.
Pricing: All prices and terms contained in this Sales Order are to be regarded as confidential and are not to be disclosed to any third party without the express written consent of Dentavine.
Adding Offices: Subscriber may add additional office locations at the same rate as identified above. Additional users will be billed and responsible to pay a prorated fee for the remaining term of the contract.
Payment: Recurring Payments will commence upon signing the contract. Payment in full is due prior to commencement of service and prior to each renewal. Failure to pay when due may result after 30 days’ written notice in the suspension and/or termination of service. All amounts specified herein reflect the cash price for the use of Dentavine products and services. In the event Customer wishes to pay via credit card, the Customer will pay the non-cash price and may be required to complete an electronic form authorizing Dentavine to use the Customer’s credit card to pay the non-cash amounts.
Cancellation: Early termination does not cancel the obligation to pay fees for the remainder of the Term. Dentavine shall have no obligation to retain any Subscriber data more than 30 days after termination.
Late Fees: Subscriber shall pay all invoices within 10 days, via credit card, check or bank wire. Overdue invoices shall incur interest at the lesser of 1.5% per month or the highest rate allowed under applicable law. Subscriber agrees to pay all costs of collection, including any legal fees and expenses.
Technical Support: Dentavine shall provide Subscriber with telephone-based and web site/email-based technical support services during Dentavine’s regular business hours, 7:00 a.m.- 6:00 p.m. Monday to Friday U.S. Mountain Time, excluding U.S. holidays.
Dentavine has developed a set of software programs that (among many other features) facilitates and manages internal and external communications within professional offices (the “Software”). Access to the Software is provided by Dentavine as a service to Subscriber via an ASP (Applications Service Provider) license model.
Parties agree to the terms hereof and have caused this Sales Order and License Agreement to be executed by their duly authorized representatives. This Sales Order and License Agreement shall be effective as of the date of the last party to execute it. This Sales Order and License Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and which when taken together shall constitute one complete instrument
